Form INC-34 of the SPICe AOA: INC Full Form

The INC full form of the Form INC-34 or the SPICe AOA (known as electronic Articles of Association) is a new scheme which has been introduced by the MCA (Ministry of Corporate Affairs) in order to simplify the process of registration of a any Company in India.

The Articles of Association of a company, also known as AOA in short, is the subordinate of Memorandum of Association of Company and it lays down the regulations and guidelines regarding the internal management system of the company. The AOA looks after the power control of the company and its management by the Authority and the Board of the members in order to maintain the conduct of the enterprise or the company. Therefore, we can conclude that the Articles of Association are those rules and regulations maintained by a company which binds it to its shareholders. How to Prepare for the SPICe AOA

The languages selected for the preparation of the INC full form of the eAOA are both English and Hindi. The applicant must be careful during the preparation for the SPICe AOA so that it is done in accordance with the Companies Act of 2013.

Applicable Table for the AOA

Before preparing for the SPICe AOA, the proper table has to be selected according to the Companies Act of 2013 on the basis of the type of the company that will be incorporated. The “Table as per the Schedule I” and the respective company is given below.

• Table – F: Articles of association of a company which is limited by the shares
• Table – G: Articles of association of a company which is limited by the guarantee and which have a share capital
• Table – H: Articles of association of a company which is limited by the guarantee and do not have the share capital
• Table – I: Articles of association of an unlimited company and which have a share capital
• Table – J: Articles of association of an unlimited company and which do not have a share capital

Name of the Enterprise

The name of the enterprise or the company has to be typed into the place as given. If approval for the name of your company has already been given, then the SRN number for the approval for the name of the company can be entered into the system to finish the processing of the relevant details. Editing the SPICe AOA

The INC full form for the AOA, or the Articles of Association of the relevant table will be visible on the screen in the section under the name of the Company on the basis of the table that has been chosen by the applicant. If the applicant want to hide any article, he can select the first checking box called “not applicable” for the said article. In order to entrench any article, the applicant has to choose the second check box called “Altered” for the said article.

Under the option called the “Board of Directors” the name of the director or the directors is compulsory to be entered. The different types of the appointments are to be mentioned as sub-articles. For example: (a) – Name of Directors, (b) – Director of Management and so on. The other additional AOA are to be mentioned in the last box called “Others”.

Sheet of the Subscriber

The details about the subscriber has to be typed in the area reserved for the subscriber in the portal. Make sure that the details have to match with the SPICe or the INC full form 32. Therefore, it is important that the same PAN or Passport Number or DIN as written in the form 32 has been typed in for each subscriber. Such is to be done for the representative of the Body Corporate Subscriber who is authorized. The maximum number of details of the shareholders that is allowed through the INC full form of the SPICe is 7. If more than seven shareholders are to be included than the regular process of incorporation can be followed.

Signature of the Witness

Anyone who uses the digital signature of class 2 type can witness for the SPICe AOA. It is not required for the witness to be some Professional even though it is better if that witness is. The one who is witnessing must possess a proper and valid Passport Number or PAN or DIN.
